Terms of Engagement

1. Parties

These terms govern forecasting services provided by M26 Ventures LLC, a Delaware limited liability company trading as Keyydo ("Keyydo", "we"), to the client named on the engagement confirmation ("you"). Engaging us means accepting these terms.

2. What we deliver

A written forecast document covering the product ordered and any variations of it ordered with it, modelled over a 36-month horizon across conservative, base and upside scenarios, and delivered in PDF. The engagement is conducted in writing throughout. It does not include calls.

Forecasts cover products sold on Amazon US in six categories: Health & Household, Beauty & Personal Care, Pet Supplies, Home & Kitchen, Sports & Outdoors, and Tools & Home Improvement.

Delivery is followed by three working days of written questions by email. Where an answer materially changes the modelled outcome, we re-run the model and issue an updated forecast once, at no charge. Whether a change is material is determined by us, applying the thresholds stated in the delivered document.

Unless separately agreed in writing, the engagement does not include ongoing advisory work, implementation, account management, advertising management, listing work, or further revisions after the question window closes.

We are under no obligation to monitor or update a forecast after delivery. Every figure is captured on a stated date and categories move. If you want a forecast refreshed, that is a new engagement.

3. Fees and payment

• Fees are fixed and published on our website: $990 per forecast, and $250 for each additional variation of the same product. The fee is confirmed to you in writing before work begins.
• Payment is due in full before work begins. Work begins once payment is confirmed.
• All fees are in US dollars and exclusive of any taxes, duties or bank charges that may apply.
• Published rates may change at any time. The rate confirmed in your engagement confirmation is the rate that applies to your engagement.

4. Ordering and delivery

You order through the Keyydo app at keyydo.app. Creating an account is free. An order sets out an order name, the product category, your launch capital and three to six competitor Amazon links, plus any optional details you choose to add. An unfinished order is saved to your account. Once submitted, it can no longer be edited. An order in the Other category needs only a name and category, and no forecast is made for it.

We deliver a written forecast document. We do not commit to a fixed delivery time, because forecasts are prepared with our team.

5. Your inputs

The forecast is only as good as what goes into it. You are responsible for the accuracy and completeness of the costs, prices, budgets, lead times, and plans you provide. We do not independently audit or verify your figures. Where we substitute a benchmark or estimate for a figure you cannot supply, that substitution is identified in the assumptions register of the delivered document.

6. Nature of the forecast

Forecasts are forward-looking statements. They rest on assumptions about consumer demand, advertising costs, conversion rates, competitor behaviour, marketplace policy, supply chain performance and general economic conditions — none of which we control and any of which may change.

Actual results will differ from any forecast, and the difference may be material. No outcome shown in a Keyydo document is promised, warranted, or assured. Past performance of comparable products is not a reliable indicator of your results.

Any exit or business-valuation figure included in a document is illustrative only, based on stated multiples, and must not be treated as an appraisal, a valuation opinion, or an offer.

7. Not professional advice

Keyydo is not a registered investment adviser, broker-dealer, certified public accountant, or law firm, and nothing we deliver constitutes investment, securities, financial, accounting, tax, or legal advice. You should obtain independent professional advice before raising capital, incurring debt, or committing funds on the basis of a forecast. Decisions you take remain yours alone.

8. Use of the document

You may use the delivered document inside your business and share it with your own advisers, investors, lenders and partners, provided it is shared complete and unaltered and its assumptions and disclaimers travel with it.

You may not:

• Extract figures in a way that removes or contradicts their stated assumptions.
• Resell, license, or redistribute the document as a product or as your own work.
• Present the forecast as an audited, assured, or independently verified projection.
• Use Keyydo's name or the document to imply that we endorse or guarantee an investment.

9. Intellectual property

You own your inputs. Keyydo owns the forecasting engine, methodology, benchmarks, models, templates and document structure used to produce the deliverable, and retains all rights in them. Delivery grants you a licence to use the finished document as set out above; it transfers no rights in the underlying methodology.

We do not reuse your engagement. The analysis, outputs and document produced for you are prepared for you alone. We will not resell, license or supply them to any other person, and we will not incorporate them, in whole or in substantial part, into any report, dataset, benchmark or product furnished to others. This restriction does not apply to independently sourced marketplace data, or to improvements to the engine and methodology that contain none of your information.

10. Confidentiality

Each party will keep the other's confidential information in confidence and use it only for the engagement. Our handling of your information is described in the Privacy Policy. We will sign a non-disclosure agreement on request, before inputs are shared.

11. Cancellation and refunds

• Before your order is submitted: cancel for a full refund, less any payment processing fees.
• Once your order is submitted, work has begun and fees are non-refundable, except as set out below.
• If you do not submit your order within 30 days of payment, the engagement may be closed and fees are treated as earned.

If an order falls outside what Keyydo covers, we say so within three working days of receiving it and refund in full. This applies to scope — a marketplace or category we do not cover, or a request we cannot model responsibly on the terms described. It is a standard we hold, not a right you exercise.

12. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to an engagement — whether in contract, tort, negligence, or otherwise — is limited to the fees you actually paid for that engagement.

We are not liable for lost profits, lost revenue, lost business opportunity, inventory write-downs, financing costs, or any indirect, incidental, special, consequential or punitive damages, even if advised such damages were possible. Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud.

13. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and both parties consent to that venue.

14. General

These terms together with your engagement confirmation form the entire agreement between us and supersede prior discussions. If any provision is held unenforceable, the rest remain in force. Failure to enforce a provision is not a waiver of it. We may update these terms for future engagements; the version in force when your engagement is confirmed is the version that governs it.
